General Counsel and Software Contracts Attorney
Job Locations: Boston
Anaqua is looking for a software contracts attorney to also act as general counsel. This is an excellent opportunity for a junior to mid-level attorney with stellar negotiating skills to gain great experience in the world of contract negotiation while advising on issues of employment law, compliance, and documentation.
Position Overview
The person in this role will be responsible drafting software contracts and face to face negotiations with clients to ensure sound, legal, and effective contract execution. This person will also be available for general counsel support for a variety of in house legal issues.
Additional responsibilities include but not limited to:
- Review bid documents and contract terms and conditions, providing legal services to the Anaqua Team with respect to Projects, preparation of software license agreements and drafting contracts and agreements, and other matters as required.
- Review and revise commercial proposals and contracts for the Anaqua software. Review and evaluate all commercial terms and conditions of bid documents and proposals, including requirements for bonding, bank guarantees, letters of credit, insurance requirements, liquidated damages, taxes and duties and cost proposals.
- Review all Risk Analyses regarding upcoming projects to ensure compliance with Anaqua standards and policies.
- Prepare commercial tables of compliance and other commercial documents required for proposals.
- Negotiate and finalize contract terms and conditions with Customers.
- Prepare software license and escrow agreements as required for each project.
- Prepare non- Contracts Attorney /confidentiality agreements Contract interpretation.
- Represent the corporation before State Unemployment Commissions regarding benefits to discharged employees.
- Act as general counsel for all in house legal issues.

Position Overview:
Work with an experienced Hosted Services (SaaS) and Enterprise Software Company in support of their global and growing team of professionals.

Responsibilities:
Sales Engineering
